The Firm's Corporate/Securities Department: The Firm's Corporate/Securities Department has handled all facets of corporate finance including public offerings and private placement of debt and equity, mergers/acquisitions, and other matters for growing companies including patent and trademark, licensing, distribution arrangements and joint venture agreements. The Corporate Securities Department is focused on matters relating to corporate, finance, commercial lending, securities and contract law. Corporate expertise ranges from counseling on issues relating to corporate governance, disclosure, internal controls (including Sarbanes-Oxley), change of control and management responsibilities to handling major transactions. It is skilled in sophisticated financing techniques for insurance companies, as well as insurance company restructuring. In addition, the department has significant experience in complex corporate, securities and accounting fraud litigation, as well as defending insurance companies in pension plan ERISA litigation and suits involving complex "coverage" questions.
